1. Provider and Scope

These Terms of Use (the "Terms") govern your use of the mobile application MuyVerbs - Spanish Verb Master (the "App") for iOS and Android, provided by:

("we", "us", "our" or the "Provider")

By downloading, installing, accessing or using the App, you ("you" or the "User") accept these Terms. If you do not agree with these Terms, you must not use the App.

These Terms apply in addition to the terms and conditions of the app store from which you downloaded the App, for example the Apple App Store or Google Play. In case of conflict between these Terms and the applicable app store terms regarding the download, purchase or update of the App, the app store terms prevail.

2. Description of the Service

MuyVerbs is a mobile application for learning and practising Spanish verb conjugation. The App provides, among other things:

  • a structured learning path with levels and milestones
  • Learn by Tense guides for Spanish tenses
  • a grammar guide (A0-C2)
  • quiz modes: Level Quiz, Smart Quiz, Quiz+, Learn by Tense Quiz, Favorites Quiz, Verbs Only and In Context
  • a searchable verb library
  • a favourites list
  • progress and statistics tracking
  • account features and optional cloud sync of progress
  • a Pro subscription with extended functionality

Service Changes

We continuously develop the App and may add, change or remove features at any time, provided this does not materially reduce the functionality of a paid subscription already purchased.

3. Eligibility

You may use the App only if you are at least 16 years old, or the minimum age required in your country to enter into a binding contract and to consent to the processing of your personal data, whichever is higher.

If you are a minor, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Account and Sign-In

To use certain features of the App, including synchronisation of progress, favourites and subscriptions, you may create a user account or sign in via:

  • Google Sign-In
  • Apple Sign-In
  • Guest mode (no email required)

Account Responsibility

You are responsible for:

  • providing accurate information during sign-in
  • keeping your sign-in credentials, including Google or Apple account, secure
  • all activity that occurs under your account

Guest Mode

We may suspend or terminate accounts that are used in violation of these Terms or applicable law.

If you use Guest mode, your progress is stored locally on your device and, depending on your settings, linked to an anonymous identifier. Guest data may be lost if you uninstall the App, switch devices or clear app data. We recommend signing in with Google or Apple if you want cloud-backed progress.

5. Free Version and Pro Subscription

The App is available in a free version. Free users can answer a limited number of quiz questions per day, currently 10. Other limitations may apply and are indicated in the App.

5.2 Pro Subscription

The Pro subscription unlocks the full feature set of the App. The base EUR prices are:

  • Monthly: EUR 4.99 per month, plus applicable local taxes
  • Annual: EUR 29.00 per year, plus applicable local taxes

Binding Price

Prices may vary by country, currency, app store pricing tiers and applicable local taxes. The final price displayed in the App or in the app store at the time of purchase is the binding price.

5.3 Purchase and Billing

Subscriptions are purchased and billed through the respective app store, Apple App Store or Google Play. The applicable app store terms govern payment, billing, renewal, refunds and disputes relating to the transaction. We do not process payments directly and do not receive your full payment details.

5.4 Automatic Renewal

Subscriptions renew automatically at the end of each billing period at the then-current price, unless cancelled at least 24 hours before the end of the current period, or any other period required by the applicable app store.

You can cancel a subscription at any time by following the instructions of the applicable app store:

  • iOS / Apple App Store: Settings > your Apple ID > Subscriptions.
  • Android / Google Play: Google Play Store > Subscriptions.

Cancellation Effect

Cancellation takes effect at the end of the current billing period. You retain Pro access until then.

5.5 Restore of Purchases

If you reinstall the App or switch to another device using the same Apple or Google account, you can restore a previous active subscription through the Restore Purchase function in the App.

5.6 Price Changes

We may adjust subscription prices for future billing periods. Price changes will be communicated in advance in accordance with the applicable app store rules and will only apply after renewal. If you do not agree with a price change, you can cancel the subscription before it takes effect.

5.7 Right of Withdrawal

Under Swiss law, there is generally no statutory right of withdrawal for digital content that is delivered immediately after purchase. Refunds for subscriptions are handled exclusively by the applicable app store in accordance with its policies.

6. Permitted Use

You may use the App for your personal, non-commercial learning purposes.

You agree not to:

  • reverse engineer, decompile, disassemble or attempt to derive the source code of the App, except as expressly permitted by applicable law
  • copy, modify, adapt, translate or create derivative works of the App or its content, except as expressly permitted by these Terms
  • remove, alter or obscure any proprietary notices in the App
  • use the App or any of its content, including verb data, grammar content and example sentences, to train machine learning or artificial intelligence models
  • circumvent, disable or interfere with security-related or technical features of the App, including free-tier limits or subscription checks
  • use the App in a way that violates applicable law or the rights of third parties
  • use automated systems, bots or scrapers to access or interact with the App
  • use the App to transmit malware or other harmful code

Use Violations

Violations may lead to suspension or termination of your account and, where applicable, to civil or criminal liability.

7. Intellectual Property

The App, including its software, design, user interface, graphics, logos, grammar and tense explanations, learning path structure, curated verb lists, example sentences, texts and other content (the "Content"), is protected by copyright, trademark and other intellectual property laws. The Content is owned by or licensed to 2DAY Communications GmbH.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the App on devices you own or control, solely for your personal, non-commercial learning purposes.

All rights not expressly granted to you are reserved.

8. Third-Party Services

The App integrates third-party services, including but not limited to:

  • Google Firebase, including Authentication, Cloud Firestore and Firebase services, for account management, cloud storage of progress and diagnostics
  • Google Sign-In and Sign in with Apple for authentication
  • RevenueCat for subscription management and entitlement handling
  • Apple App Store and Google Play for distribution, payments and updates

Third-Party Terms

Your use of these third-party services is governed by the respective providers' terms and privacy policies. We are not responsible for the content, availability, performance or security of third-party services.

9. User-Generated Content

The App currently does not provide public user-generated content. Any content you voluntarily submit to us, for example via the "Report a bug", "Give Feedback" or "Contact" functions, may be used by us for the purpose of improving the App, providing support, and addressing your request. You are responsible for ensuring that such submissions do not violate any third-party rights or applicable law.

10. Availability and Changes

We make reasonable efforts to keep the App available, but we do not guarantee uninterrupted or error-free operation. Availability may be affected by:

  • maintenance and updates
  • issues with third-party services, including authentication, database and app store services
  • issues with your device, operating system or internet connection
  • events outside our reasonable control, force majeure

App Changes

We may, at our discretion:

  • modify, update or discontinue features of the App
  • end support for older versions of the App, operating systems or devices
  • discontinue the App as a whole

Permanent Discontinuation

In the event of permanent discontinuation of the App during an active paid subscription period, you will be entitled, in accordance with applicable law, to a pro rata refund of any fees paid for the remaining subscription period, to be handled through the applicable app store where legally required.

11. Disclaimers

The App is a learning aid. The content, including grammar explanations, tense descriptions, verb conjugations and example sentences, is provided for educational purposes and with reasonable care, but we do not guarantee that the content is complete, accurate, up-to-date or free from errors. The Spanish language includes regional variations, exceptions and evolving usage. You should not rely on the App as the sole source for academic, professional or official language use.

To the maximum extent permitted by applicable Swiss law, the App is provided "as is" and "as available". We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimer is not permitted by mandatory law.

12. Limitation of Liability

To the maximum extent permitted by applicable Swiss law:

  • We are liable without limitation for damages caused by intent or gross negligence, for personal injury, and in cases where liability cannot be limited under mandatory Swiss law.
  • For damages caused by slight negligence, our liability is limited to the foreseeable damage typical for contracts of this kind, and, where the damage relates to a paid subscription, to a maximum of the total amount you paid for the subscription in the 12 months before the event giving rise to the claim.
  • We are not liable for indirect or consequential damages, loss of profit, loss of data where the loss would have been avoided by a reasonable backup, or damages caused by third-party services, by your device or operating system, or by your violation of these Terms.

Mandatory Rights

Mandatory statutory rights, including where applicable under the Swiss Product Liability Act, remain unaffected.

13. Indemnification

You agree to indemnify and hold harmless 2DAY Communications GmbH, its directors, employees and agents from and against any claims, damages, losses or expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms or your violation of applicable law or third-party rights through your use of the App, to the extent permitted by applicable Swiss law.

14. Term and Termination

These Terms apply from the moment you install or use the App and remain in force for as long as you use the App.

You may terminate these Terms at any time by uninstalling the App and, where applicable, deleting your account in Settings > Your Data > Delete Account. Cancellation of a paid subscription is governed by Section 5.

We may terminate or suspend your access to the App, including any active account and Pro subscription to the extent legally permissible, with immediate effect if:

  • you materially breach these Terms
  • your use of the App creates legal, security or operational risks for us or other users
  • we are required to do so by law or by an order of a competent authority

Survival

Termination does not affect obligations that by their nature survive termination, including intellectual property, disclaimers, limitation of liability and governing law.

15. Changes to these Terms

We may amend these Terms from time to time, for example to reflect changes to the App, to our services, to our pricing model, or to applicable law. The current version of these Terms is always available in the App and, where applicable, on our website.

Where changes are material, we will inform you through the App or by other reasonable means before the changes take effect. Your continued use of the App after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the App and, where applicable, cancel your subscription.

16. Data Protection

Our processing of personal data in connection with the App is described in our separate Privacy Policy, which forms an integral part of these Terms.

17. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms is Basel, Switzerland, subject to any mandatory statutory place of jurisdiction, in particular for consumers domiciled in Switzerland or in the European Union, who may bring and defend proceedings at their place of domicile.

18. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions remain in full force and effect. The invalid, illegal or unenforceable provision shall be replaced by a valid and enforceable provision that comes as close as possible to the economic purpose of the original provision.

19. Entire Agreement

These Terms, together with the Privacy Policy and the terms of the applicable app store, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings relating to its subject matter.
